Terms and Conditions

3.1 Free Usage Period: New users may start using the service free for up to 30 days (one month). This is a trial evaluation period to allow you to assess whether the service meets your needs. By creating an account, you acknowledge and agree that after 30 days, you must subscribe and provide payment to continue accessing the service. No credit card is required to start.

3.2 Mandatory Payment After Free Period: After the initial 30-day free usage period, you MUST subscribe and provide valid payment information to continue using the service. If you do not subscribe after 30 days, your account access will be automatically restricted, and you will be unable to access your data or use any features of the service until payment is provided.

3.3 Service Suspension for Non-Payment: We reserve the right to immediately suspend, restrict, or terminate your access to the service if you fail to provide payment after the free period expires. You acknowledge that continued use of the service after 30 days requires a paid subscription, and failure to pay constitutes a violation of these terms. You agree that we have no obligation to provide access to non-paying users and hold us harmless from any loss of access, data, or business interruption resulting from non-payment.

3.4 Payment Terms: All subscription fees are charged in advance on a monthly or annual basis. You authorize us to charge your payment method for all fees. By providing payment information, you represent that you are authorized to use the payment method.

3.5 Non-Refundable: All payments are strictly non-refundable under any circumstances. No refunds or credits will be provided for partial months or years of service, prepaid but unused periods, dissatisfaction with the service, or any other reason whatsoever.

3.6 Price Changes: We reserve the right to change our subscription prices at any time with 30 days advance notice to active paying subscribers.

3.7 Failed or Late Payments: If any payment fails, is declined, or is not received when due, we may immediately suspend or terminate your access to the service without notice. You remain responsible for all amounts due. We may charge late fees or collection costs for overdue amounts.

3.8 No Obligation to Provide Free Service: You explicitly acknowledge and agree that we have no obligation to provide free service beyond the initial 30-day period. Any continued use of the service after 30 days without payment constitutes unauthorized use and may result in immediate termination and potential legal action.

4.1 Additional Service: SMS automation is an optional add-on service and requires an additional subscription fee beyond the base platform subscription.

4.2 SMS Charges: You are responsible for all SMS messaging costs and carrier fees associated with the SMS service.

4.3 Compliance: You agree to comply with all applicable laws regarding SMS communications, including obtaining proper consent from recipients.

5.1 Account Security: You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

5.2 Accurate Information: You agree to provide accurate, current, and complete information during registration and to update such information as necessary.

5.3 Prohibited Use: You may not use the service for any illegal purposes, to transmit harmful code, or to violate any laws or regulations.

IMPORTANT: PLEASE READ THIS SECTION CAREFULLY. THIS SECTION LIMITS OUR LIABILITY TO YOU.

8.1 Service "AS IS": The service is provided "AS IS" and "AS AVAILABLE" without any warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, accuracy, availability, or non-infringement.

8.2 No Liability for Service Interruption: We shall not be liable for any service interruption, suspension, or termination, including those resulting from non-payment, technical issues, maintenance, or any other cause. You acknowledge that interruption of service may cause loss of business, data, or revenue, and you expressly waive any right to claim damages for such losses.

8.3 Maximum Liability: To the maximum extent permitted by law, Mecanique UG Inc's total liability to you for all claims arising from or related to the service shall not exceed the amount you paid us in the 12 months immediately preceding the claim, or $100 USD, whichever is less.

8.4 No Consequential Damages: Under no circumstances shall Mecanique UG Inc be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, business opportunities, data, use, goodwill, or other intangible losses, even if we have been advised of the possibility of such damages.

8.5 Data Loss and Backup Responsibility: We are not responsible for any data loss, corruption, deletion, or inaccessibility. YOU ARE SOLELY AND ENTIRELY RESPONSIBLE FOR BACKING UP YOUR DATA. We strongly recommend regular backups. Loss of access due to non-payment, account suspension, or termination does not obligate us to retain, recover, or provide access to your data.

8.6 Third-Party Services: We are not responsible for any third-party services, integrations, or platforms that you use in connection with our service. Your use of third-party services is at your own risk.

8.7 Business Impact: You acknowledge that we are not responsible for any business losses, lost revenue, interruption of business operations, or any other business-related damages resulting from your use or inability to use the service, regardless of the cause.

9.1 By You: You may cancel your subscription at any time through your account settings. No refunds will be provided for any remaining subscription period. Upon cancellation, you will retain access until the end of your current paid billing period.

9.2 Automatic Suspension for Non-Payment: Your account will be automatically suspended if you fail to provide payment after the 30-day free period or if any payment fails thereafter. Upon suspension, you will immediately lose access to all features, data, and services. We are not liable for any losses, damages, or business interruption resulting from account suspension due to non-payment.

9.3 By Us: We reserve the absolute right to suspend, restrict, or terminate your account at any time, with or without notice, with or without cause, including but not limited to: non-payment, violation of these terms, suspected fraud, abuse of the service, or for any other reason we deem necessary. You waive any right to claim damages resulting from such termination.

9.4 Effect of Termination or Suspension: Upon termination or suspension, your right to use the service will immediately cease. You will lose access to your account, all data, and all features. We have no obligation to maintain, return, or provide access to your data after termination or during suspension.

9.5 Data Deletion: We reserve the right to permanently delete all your data, including but not limited to client information, invoices, inventory records, appointments, photos, and all other content, after 60 days of account suspension or termination. You are solely responsible for backing up and exporting your data before termination. We are not liable for any data loss resulting from termination or suspension.

9.6 Reactivation: If your account is suspended for non-payment, you may reactivate it by providing valid payment information and paying all outstanding amounts, including any applicable late fees. However, we reserve the right to refuse reactivation at our sole discretion.

9.7 No Liability for Suspension: You expressly agree that we shall not be liable to you or any third party for any suspension, termination, or modification of your account or access to the service, regardless of the reason.

11.1 Governing Law: These terms shall be governed by and construed in accordance with the laws of Uganda, without regard to its conflict of law provisions.

11.2 Arbitration: Any disputes arising from these terms or the service shall be resolved through binding arbitration rather than in court, except where prohibited by law.

13.1 Entire Agreement: These terms constitute the entire agreement between you and Mecanique UG Inc regarding the service.

13.2 Severability: If any provision of these terms is found to be unenforceable, the remaining provisions will remain in full effect.

13.3 No Waiver: Our failure to enforce any right or provision of these terms will not be considered a waiver of those rights.
